This sets out the standard Terms & Conditions of Business on the basis of which I accept instructions from and undertake notarial services for clients (“Services”). These terms will govern the professional relationship in the absence of any other written agreement. They will apply to the exclusion of any other terms and conditions put forward.
In these terms, “I”, “my” and “me” refer to Niamh Hall, Notary Public and “you” and “your” refer to clients thereof.
Identification of Client
I shall be entitled to assume, unless otherwise instructed in writing that the legal entity (person, firm, company etc) providing me with the initial instructions in relation to a matter is my client. If, for example, we accept instructions from solicitors, lawyers, or agents, whether in Ireland or abroad, they and not the person for whom they act will be my client and will be responsible for settlement of all of my invoices, and for reimbursement of all my costs and expenses, in respect of work carried out for, and authorised by, them.
Professional Fees and Charges
My fees are primarily calculated in accordance with a regularly updated schedule of charges, details of which can be provided to you upon request. My fees are usually based on hourly rates, pre-set scale items, or a combination of both.
Nature of the Services
My involvement is limited to notarising the documents signed by you and seeking legalisation where appropriate, and no advice has or will be given as to the legal effect or appropriateness of the documentation.
Disbursements
Any disbursements such as Official fees incurred on your behalf will be billed in addition to my professional fees. Invoices will also include charges for couriers, etc., which will normally be charged according to my standard rates.
Payment On Account
I may ask you either at the outset of my work or as it progresses to make a payment to me on account of my fees and / or outlays. In some instances, for example where there is a large outlay involved, I may request payment in advance.
Fee Estimates
An estimate is my indication, made in good faith, of my likely fees and outlays for carrying out the work concerned, based on information at the time that the estimate is given. An estimate is subject to revision and does not amount to a contractual commitment on my part to carry out the work for those fees and outlays. I will notify you promptly if it becomes apparent that our fees and outlays are likely to significantly exceed an estimate we have given.
Confidentiality
Whilst client confidentiality is of the utmost importance, I may need to permit professional bodies, public authorities and other organisations to inspect my files to demonstrate my compliance with professional standards. You confirm that I have your authority to produce your file and other documents and that I am authorised to give information as an exception to my confidentiality obligations. Further, I may be required to report matters to the appropriate authorities under applicable laws and regulations, including without limitation, anti-money laundering laws as an exception to the normal rules of client confidentiality.
Payment Terms
I am committed to providing a professional and timely service and in turn you are required to pay my invoices within my normal credit terms, which are 30 days from date of invoice.
LIMITATION OF LIABILITY
IT IS HEREBY AGREED AND CONFIRMED THAT:
I maintain professional indemnity insurance in respect of the provision of the Services. The maximum aggregate liability (whether in contract, tort, under statute or otherwise) to you in relation to the Services howsoever arising will be limited to £1 million in total including interest and costs. No liability whatsoever will be accepted in relation to any loss, damage or liability whatsoever caused directly or indirectly to any party other than the client for whom I have agreed to act in connection with the relevant matter. No third party shall have any right to enforce any contract to provide advice or services or to rely upon any advice given or opinion expressed. In any event, no liability whatsoever will be accepted where such liability either arises from any instructions or information given by the client or by any third party being incomplete, inaccurate or incorrect; force majeure; change of law, practice or legislation; the closure, delay or refusal or change in processing times or procedures of official bodies; or where such liability is for any indirect, economic or consequential loss or damage, costs, expenses or other claims for consequential compensation whatsoever or howsoever caused which arise out of or in connection with the services provided or for loss of profit, loss of business, loss of data, depletion of goodwill or loss occurring in the normal course of business or otherwise. These limitations will apply notwithstanding any express or implied term of business. The risk in the notarised documents shall at all times remain with you. I do not assume any liability (including liability for negligence) for the acts or omissions of the providers of telecommunications or postal services or for faults in or failures of their networks and equipment, including but not limited to services of: power, communications, transport or strikes, which delay or frustrate the notarial act. No liability will be accepted for any claim first brought in either the USA or Canada. Each provision of this paragraph operates separately and is to be read and construed independently of the others.
Termination of Instructions
I expect to continue to act for you until I complete the work concerned. Either you or I may bring instructions to an end at any time by telling the other. We will not do this without good reason. Examples include a conflict of interest, your requiring me to break rules of professional conduct, your failure to provide me with adequate and timely instructions or your failure to pay any amount due to me. If either of us terminates instructions, you must pay me all fees and outlays incurred before termination plus any further fees and outlays for work necessary to transfer my file to another notary public of your choice.
Governing Law
These terms and Conditions of Business are governed by and construed in accordance with Irish law. If any provision of these terms is held by any court or other competent authority to be void or unenforceable in whole or part, these terms shall continue to be valid as to the other provisions thereof and the remainder of the affected provision.
